§1Acceptance & scope

By creating an account or otherwise using forfait.me (the "Platform"), you agree to be bound by these Terms of Service. The Platform is operated by Forfait Representation of Companies LLC, an Abu Dhabi limited liability company ("Forfait", "we", "us"). These Terms govern your access to the Platform, including the Country Intelligence Module, the Opportunity Marketplace, and any mandates surfaced through the Platform.

§2Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) and legally able to enter contracts. Membership in the Investor and Professional tiers additionally requires verified identity, source-of-funds attestation, and where applicable, evidence of accredited or qualified investor status under the law of your domicile.

§3Membership tiers

Forfait offers four tiers: Observer (free), Member (subscription), Investor (subscription + KYC), and Professional (custom engagement). Tier features, quotas, and pricing are as published on the Pricing page at the time of your subscription. Forfait reserves the right to adjust features and pricing for subsequent billing periods; existing terms apply through your current period.

§4Account security

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify Forfait immediately of any unauthorised access. Forfait may suspend an account if we have reasonable grounds to believe it has been compromised.

§5Acceptable use

You agree not to (i) circumvent access controls or audit-chain mechanisms; (ii) redistribute, resell, or sublicense Platform content without explicit written permission; (iii) attempt to extract data through automated means beyond rate-limited API access expressly granted to your tier; (iv) misrepresent your identity, jurisdiction, or affiliations; or (v) use the Platform to solicit or facilitate transactions in jurisdictions where doing so would breach applicable law.

§6Content & intellectual property

All Platform content — including country dossiers, scenario outputs, narrative briefs, and software — is the intellectual property of Forfait or its licensors. Members are granted a non-exclusive, non-transferable, revocable licence to use such content for their own internal evaluation, decision-making, and (where applicable) advisory work. Downloadable artifacts (PDFs, CSVs) carry watermarks identifying the member and session; redistribution outside the membership is prohibited.

§7Marketplace & sponsor materials

Materials submitted by contributors (opportunity sponsors) remain the property of those contributors. Forfait curates and surfaces such materials but does not warrant their accuracy, completeness, or commercial merit. Members are responsible for their own due diligence on any opportunity they engage with.

§8No investment advice

Forfait is a platform and representation firm. Nothing on the Platform constitutes investment advice, an offer to sell, or a solicitation to buy any security or financial instrument in any jurisdiction. See the Disclaimer page for the full position.

§9Fees & payment

Subscription fees are billed annually in advance in AED, USD, or EUR as elected. Payment is due upon invoice and access is provisioned upon receipt of cleared funds. Cancellation before renewal terminates further billing but does not entitle a refund of fees already paid, except as set out in Article 10.

§10Refunds & termination

You may cancel your subscription at any time from your account settings. Cancellations within 30 days of initial Investor or Professional subscription qualify for a prorated refund of the unused portion, less a 5% administrative retention. Forfait may suspend or terminate your account for material breach of these Terms, in which case no refund is due. Member references and audit-chain records of past activity are retained as required for compliance.

§11Privacy

Forfait processes personal data in accordance with the Privacy Policy, which forms part of these Terms by reference.

§12Disclaimers & limitation of liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, Forfait disclaims all warranties, express or implied, including warranties of fitness for purpose and non-infringement. Forfait's aggregate liability in respect of any claim arising under or in connection with these Terms shall not exceed the lesser of (i) the fees paid by you to Forfait in the twelve months preceding the claim, or (ii) AED 25,000.

§13Indemnification

You agree to indemnify and hold harmless Forfait, its directors, employees, and licensors from any claim, loss, or liability arising from your breach of these Terms, your misuse of Platform content, or your transactions with other Platform users.

§14Modifications

Forfait may amend these Terms from time to time. Material changes will be notified by email to members at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the amended Terms.

§15Governing law & dispute resolution

These Terms are governed by the laws of the United Arab Emirates. Any dispute shall be resolved in the courts of Abu Dhabi, or, where elected by Forfait in writing, by arbitration under the rules of the Abu Dhabi Global Market (ADGM) Arbitration Centre.
